FULL TERMS AND CONDITIONS
Registration: To register and place bids for this auction event, all interested bidders must register on the Dudley Auctions bidding website, bid.dudleyauctions.com. All bidders must be at least eighteen (18) years of age and must be eligible to bid at the sole discretion of Dudley Auctions, based on any past experience with the registered bidder or otherwise. Registered bidders may be subject to credit card verification through a third-party service during registration. Approved bidders will receive email notification once approved. Bidding rights are not absolute, and all registrations, even if successfully verified by credit card, are subject to manual verification at any time by Dudley Auctions. Dudley Auctions reserves the right to suspend or terminate any bidder’s registration for this auction at any time.
Bidder Approval: A deposit verification in the amount displayed on the Dudley Auctions website, or as communicated by Dudley Auctions, is required to become an approved bidder. Any such deposit will be required in the form of cash, certified funds, or credit card verification. Dudley Auctions reserves the right to hold the deposit until the completion of the auction event and for a reasonable period afterward to allow for the release or return of any such funds. The online bidding platform will place a minimal credit card hold at registration to confirm the validity of the card, which is released upon verification. Bidders requiring traditional financing must provide a pre-approval letter from a qualified lender, and cash buyers must provide proof of funds, before bidding rights are granted.
Buyers Requiring Lender Financing: Must submit a pre-approval letter from a recognized financial institution dated within 30 days of registration. The pre-approval letter must specify the approved loan amount, be on official letterhead, include the lender’s contact information, and be signed by an authorized loan officer. Conditional approvals will be accepted provided the remaining conditions are reasonable and attainable within the closing timeframe. Financing contingencies must be disclosed prior to bidding and may affect bid acceptance at management’s discretion.
Non-Contingent (Cash) Buyers: Must provide satisfactory proof of funds before receiving bidding privileges. Acceptable documentation includes a current bank statement (dated within 30 days of registration), a letter on bank letterhead signed by an authorized bank officer, or an investment account statement showing liquid assets adequate for the intended purchase. All financial documentation must be in the name of the bidding entity or individual, clearly show the account holder’s name, statement date, and available balance, and be submitted at least 24 hours before the auction closes for verification.
Pre-approval letters and proof of funds may be sent to tdudley@dudleyresources.com or jflorian@dudleyresources.com.
Deposit: Bidders must provide, on or before the scheduled start time of this auction event, a bidder deposit of $2,500 in the form of cash, certified funds (payable to Dudley Auctions), or credit card verification. The highest bidder’s remaining $2,500 deposit must be paid by cashier’s check or wire transfer within three (3) business days of the end of the auction event, for a total deposit of $5,000. Deposits will be held by Dudley Auctions or a designated escrow agent and credited toward the purchase price at closing. The 10% buyer’s premium is included in the total purchase price and paid at closing.
Bid Increments: Dudley Auctions shall solely determine the bid increments for this auction event. Bid increments may be changed or modified during the auction event.
Bid Responsibility: Bidders are responsible for entering their bids and are responsible for all bids placed under their approved bidder number. Bids placed by approved bidders are final and will be recorded. Recorded bids may not be modified, retracted or rescinded.
Bidding Time: This is a timed auction event. Bidding is scheduled to begin and close at the times posted on the Dudley Auctions website. All times are Eastern Time. It is the responsibility of each bidder to check the Dudley Auctions website for scheduled opening and closing times.
Extended Bidding Time: If a bid is received during the last two (2) minutes before the scheduled ending time, the online bidding platform will automatically extend the auction for an additional two (2) minutes beyond the time the last bid was received. This repeats each time a bid is received until a full extension period passes with no additional bids. For example, if the scheduled ending time is 2:00 PM and a bid is placed at 1:59 PM, the auction would close at 2:01 PM if no additional bids are placed.
Maximum Bid: Registered bidders may submit a maximum bid (“Max Bid”) through the online bidding platform, which will bid on the bidder’s behalf in scheduled increments up to the maximum amount entered. If two bidders enter the same Max Bid amount, the Max Bid entered first will prevail at that amount. In the event of any dispute among bidders about the identity or amount of the high bid, Dudley Auctions reserves the right to reopen bidding and designate the high bidder at its sole discretion. All decisions by Dudley Auctions are final.
Buyer’s Premium: A buyer’s premium of ten percent (10%) will be added to the highest bid and included in the total purchase price paid by the buyer.
Buyer’s Premium Example:
Highest Bid: $400,000
10% Buyer’s Premium: + $40,000
Total Purchase Price: = $440,000
Highest Bid Acceptance: All bids are subject to review and approval by the seller. Dudley Auctions will notify the highest bidder once the high bid has been considered. Dudley Auctions reserves the right to accept the highest or best offer if these are not the same offer.
Seller Bidding / Reserve: Dudley Auctions is not the owner of this property and is contractually engaged to sell it on behalf of the owner(s). This property is not being sold absolute. Dudley Auctions reserves the right to bid on behalf of the owner(s), up to the amount of the reserve.
Closing: The highest bidder must sign the purchase agreement and all related documents within one (1) hour after the end of the auction event. Closing must occur within forty-five (45) days of the end of the auction, unless otherwise specified in the purchase agreement. TIME IS OF THE ESSENCE WITH REGARD TO CLOSING. The property will be conveyed by marketable deed from all owners of record, free and clear of all liens. The terms of the purchase agreement are non-negotiable, and the highest bidder must sign in the name of the highest bidder or the highest bidder’s associated business entity. It is the sole responsibility of each registered bidder to review all documents provided by Dudley Auctions before bidding.
Closing Costs: The deed will be prepared and acknowledged at the seller’s expense and recorded at the buyer’s expense. The buyer shall pay all title searches, title insurance, survey expenses, usual conveyance expenses, and recordation taxes, including the Grantor’s and Grantee’s Tax. Real estate taxes, rents, and water and sewer charges, if any, will be prorated as of the date of closing. The buyer must pay all wire transfer fees.
Financing: The winning bidder agrees to purchase the property for the high bid plus the 10% buyer’s premium, paid at settlement and subject to prorations and adjustments. If the purchase is subject to lender financing, the buyer must make written loan application within seven (7) days of the end of the auction and diligently pursue approval. The sale may be contingent on the property appraising at or above the purchase price. If required, an appraisal must be ordered within fifteen (15) days of the end of the auction. If the appraisal comes in below the purchase price, the buyer may request a price reduction in writing within five (5) days of receiving the appraisal, and the seller will have five (5) days to respond. If no agreement is reached, either party may terminate the contract in writing, and the buyer’s deposit will be refunded in full. The buyer’s deposit will be non-refundable if the buyer is unable to obtain financing for reasons outside the seller’s responsibility, including but not limited to the buyer’s credit score, debt-to-income ratio, or employment status. The seller remains responsible for ensuring the property meets standard requirements for traditional financing, including passing required inspections, meeting appraised value, and providing clear title. All financing contingencies and appraisal requirements must be satisfied by the settlement date.
Default: If the highest bidder fails to close for any reason other than those permitted under the Financing section above, the deposit will be forfeited, and the property may be resold at the risk and expense of the defaulting bidder, or the seller may accept the next highest available offer. The defaulting bidder will be personally liable for any deficiency resulting from a resale at a lower price, plus all costs, expenses, and attorneys’ fees related to the resale. Forfeiture of the deposit does not limit any of the seller’s other rights or remedies. Any successful bidder who fails to sign the purchase agreement, fails to make the required deposit, or fails to close on time may be barred from future Dudley Auctions events.
Due Diligence: It is the sole responsibility of each bidder to inspect the property, review all information and documents relating to the property, assess the accuracy and completeness of all information provided, and independently verify any estimates, projections or assumptions, none of which are guaranteed. By agreeing to these terms, each bidder represents that they have completed their due diligence to their own satisfaction. The sale is made on an “as-is, where-is” basis, with no representations or warranties of any kind, expressed or implied, by the seller or Dudley Auctions. All bidders are solely responsible for choosing and consulting their own professional advisors and acknowledge that they have relied only on their own investigation and advisors, and not on any information provided by the seller or Dudley Auctions.
Inspection: The property is sold “where is,” “as is,” and “with all faults,” with no representations or warranties except the general warranty included in the deed. All property descriptions and due diligence documents are provided by Dudley Auctions as a service and do not constitute a warranty, expressed or implied. By placing a bid, whether online, by agent or by any other means, the bidder is deemed to have inspected the property to their satisfaction and agrees to these conditions of sale. Dudley Auctions assumes no liability for errors or omissions in any listing, advertising or promotional materials.
Cooperating Broker/Agent Fee: Dudley Auctions offers a cooperating broker/agent fee of up to three percent (3%), based on the high bid and not including the buyer’s premium, paid to a licensed broker/agent representing the winning bidder. Brokers must register their buyer with Dudley Auctions before the buyer bids. Contact Dudley Auctions for full terms.
Megan’s Law Disclosure: Bidders are solely responsible for investigating registered sex offenders before bidding and should use whatever due diligence they deem necessary regarding registered sex offenders who may live near the property. This information may be obtained from the local police department or the Virginia State Police Sex Offender Registry.
Technical Problems: Dudley Auctions has made reasonable efforts to provide online bidding for this auction event. Bidders acknowledge that technical problems with hardware, software, internet connectivity, or human error may occur at any time, with or without notice, and may affect the website, the bidding platform, or a bidder’s ability to bid. Neither Dudley Auctions nor the seller is responsible for any such problems, and bidders have no right to bid during such problems. Dudley Auctions reserves the right to postpone, cancel or extend the auction, or schedule a new auction for the property, at its sole discretion, and all such decisions are final.
Controlling Law: The rights and obligations of all parties regarding this auction event are governed by the laws of the Commonwealth of Virginia. All registered bidders consent to the jurisdiction of the state and federal courts of the Commonwealth of Virginia when making an offer at this auction event, by any means.
